• Schedule: 9-5 in general but there are instances (quarterly) where filings have to happen. Hours and times vary as filing is after market closes.
Responsibilities
The role will be responsible for:
•Managing corporate records, including maintenance of minute books
•Filing annual returns filings in Canada and U.S. and drafting resolutions
•Preparing officer certificates and notarial certificates
•Preparing documents for formation and dissolution of entities
•Preparing and completing Canadian securities regulatory filings for public companies on TSX & Nasdaq, including with respect to Insider Reporting obligations (SEDI)
•Assisting treasury teams with KYC requests
•Maintaining entity lists and organizational structure charts
•Manage Diligent entities database and CSC portal
•Administrative skills to assist with booking flights and accommodations for Board members
Qualifications
Job Requirements:
• Law Clerk Diploma required
•5 Years of experience in a similar position
• Attention to detail
•Excellent communication (verbal and written) and organizational skills
•Able to work well under pressure, to manage multiple tasks and take ownership in supporting the team
•Professionalism and ability to take accountability for providing timely and accurate responses to inquiries from internal and external stakeholders
•MS Word, Excel, PowerPoint, Visio, and corporate legal records software/database
