Our client, a major legal firm, is looking to hire a Paralegal in Corporate and Transactional Law for their downtown Montreal or Drummondville or Estrie office.

Responsibilities
Assist lawyers and notaries in preparing closing agendas and drafting legal documents
legal documents for the purchase and sale of companies, complex corporate and tax reorganizations
reorganization and drafting of share capital structures;
- Prepare documents relating to incorporations, registrations, organizations, dividend declarations
amendments, mergers, dissolutions, share transactions (such as rollovers and exchanges) and
rollovers and exchanges) and extra-provincial registrations;
- Verification of minute books for corporate transactions,
purchases or real estate financing, and draft audit reports and corrective resolutions; and
reports and corrective resolutions;
- Produce annual corporate updates (resolutions, reports and declarations, etc.),
ensure that minute books are kept up to date, perform the necessary follow-ups and index the corporate
corporate filing system;
- Enter and maintain corporate data in EnAct;
- Ensure follow-up of files and filings with regulatory authorities and deadlines;
- Assist and communicate with professionals and customers;
- All other related tasks.
Qualifications
- College diploma in paralegal techniques or equivalent experience;
- Minimum of 4 years (intermediate) or 10 years (senior) of practice in a similar position;
- Excellent command of spoken and written French and English;
- Very good knowledge of the Microsoft Office suite (Word, Excel, Outlook, Teams), knowledge of
EnAct software an asset;
- Autonomy, sense of priorities and organization to deliver a high volume of work
volume of work;
- Ability to adapt and deliver with speed and accuracy, and to manage multiple priorities
simultaneously;
- Excellent interpersonal skills, ability to work as part of a team, ability to communicate with various
positive and service-oriented attitude;
- Discernment, resourcefulness, thoroughness and attention to detail.
