Responsibilities
Draft corporate resolutions and documents relating to various ongoing corporate transactions, including incorporation, organization, amendment of articles, amalgamation, liquidation and dissolution documents;
Participate in the drafting of closing agendas, basic contracts, corporate resolutions required in connection with the purchase and sale of businesses, commercial reorganizations and financing;
Participate in the drafting or modification of capital structures and by-laws;
Prepare and file with the authorities the various declarations, reports and notices of the companies;
Attend closing sessions with your team;
Make filings with the appropriate government authorities following transactions;
Enter current update data into our GlobalAct databases;
Performing searches of public corporate registries such as the Registraire des entreprises and Corporations Canada;
Qualifications
Holder of a DEC in legal techniques or equivalent experience;
Minimum of 8 years of relevant experience;
Knowledge of the Canada Business Corporations Act, the Business Corporations Act (Quebec) and the Legal Publicity Act;
Very good knowledge of the Microsoft Office Suite and GlobalAct is an asset;
Excellent command of French, both oral and written;
Excellent knowledge of the French language, both oral and written; Concern for providing outstanding customer service;
Excellent judgment, sense of priorities and ability to work under pressure with tight deadlines;
