Responsibilities
• Draft, review, and file corporate legal documents including articles of incorporation, amendments, and dissolutions
• Maintain, update, and organize physical and electronic corporate minute books and entity records
• Prepare annual returns, resolutions, and structural corporate reorganization documents
• Conduct extra-provincial registrations and related corporate filings across Canadian jurisdictions
• Perform detailed corporate due diligence reviews for mergers, acquisitions, and restructuring
• Assist legal counsel with share and asset purchase transactions and corporate financings
• Prepare closing agendas and assist lawyers with transaction closings and post-closing matters
• Liaise with internal stakeholders, external business clients, and government registries
• Monitor compliance with statutory requirements and ensure all corporate deadlines are met
Qualifications
• Post-secondary diploma or degree in a relevant legal program
• 3 to 10 years of progressive experience as a Corporate Law Clerk
• In-depth knowledge of provincial (OBCA) and federal (CBCA) corporate statutes
• Proven experience managing minute books, due diligence, and closing agendas
• Advanced, practical proficiency in corporate procedures (OBCA and CBCA)
• High-level organizational and file management skills to prioritize deadlines independently
• Technical proficiency in legal database systems, corporate record software, and MS Office
• Bilingualism (English and French) is considered a strong asset
