Responsibilities
In this role, you will be:
• Support legal and compliance departments in corporate, reporting, and transactional work
• Maintain and manage corporate books and records (physical and electronic)
• Complete corporate reports and filings with federal and provincial authorities
• Conduct corporate research and update government registries
• Organize and maintain an interactive database for corporate documentation
• Prepare meeting materials (notices, agendas, minutes, resolutions) for committees and boards
• Draft resolutions and powers of attorney as directed
• Manage and update databases of legal forms and sample contracts
• Support compliance with internal legal processes and assist subsidiaries with theirs
• Generate reports for attorneys based on case specifics and internal requests
• Maintain indexing system for active and archived case files
• Monitor changes in government regulations and report on relevant updates
• Communicate with internal and external stakeholders to gather required information
• Assist with ethics and compliance training and reporting for the parent company
• Provide support for subsidiary compliance documentation and initiatives
Qualifications
What YOU bring to the table:
• Completion of an accredited Law Clerk Program with a focus on corporate law
• 4–6 years of experience in a law firm or in-house legal department, with a focus on corporate law and corporate record management
• Strong knowledge of corporate governance and commercial law
• BILINGUALISM is considered a great asset
• Exceptional attention to detail, accuracy, and time management
• Strong written and verbal communication skills
• Proven ability to generate detailed reports and manage legal databases
• Proficiency in Microsoft Word, Excel, and adaptability to new legal software
• Ability to work collaboratively in a dynamic, fast-paced in-house legal team
• Effective interpersonal skills to interact with internal and external legal and business partners
• Willingness to take initiative and propose solutions to process challenges
• Dedication to understanding the business and its legal/compliance needs
• Capacity to manage complex tasks with long-term focus and persistence
• Tactical thinking with a commitment to accurate corporate filings and regulatory compliance
