Advantages
- Competitive Compensation of $80,000 - $90,000 depending on experience.
- Monday to Friday 9:00am - 5:00pm, some overtime is required periodically.
- Annual bonus based on merit and company performance.
- 3 weeks paid vacation, 3 float days, 5 sick days and 10 work from anywhere days.
- Comprehensive medical and dental benefits including a 100% employer-paid option after 3 month.
- Company's Defined Contribution Pension Plan employer funded up to 6% of your earning up to the Years Maximum Pensionable Earnings, and 8% thereafter to the lessor of 18% of your compensation or the annual contribution limit.

- Hybrid work model, gradual transition after first month of training (starting 5 days in office and moving to 3 days in office and 2 days work from home).
Responsibilities
Board & Corporate Governance
- Coordinate, prepare, and schedule 9 annual Board of Directors and shareholder meetings, ensuring all materials are compiled and distributed seamlessly.
- Collaborate with the legal team to draft governance documents, including minutes, resolutions, and meeting agendas.
- Manage and administer the digital Board portal platform to maintain seamless communication.
Regulatory Compliance & Data Rooms
- Ensure accurate and timely completion of all federal and provincial regulatory filings (including OSFI, FCAC, AMF, TSX, SEDI, and IIROC).
- Own and maintain the Regulatory Compliance Management (RCM) system calendar, tracking critical quarterly/annual update deadlines to keep the legal team proactive.
- Maintain external data rooms to ensure contracts, policies, and minutes are accessible for external review and due diligence.
Corporate Records & Operations
- Maintain official minute books for all corporate entities and manage a repository of corporate policies with strict version control.
- Facilitate responses to internal and external audit requests by gathering necessary supporting documentation.
- Support vendor management for legal suppliers, coordinate related payments, and draft new lender onboarding materials (NDAs, master policies) in collaboration with the sales team.
- Review simple contracts and flag out-of-the-ordinary clauses for senior counsel as your role expands.
- Additional duties as required
Qualifications
- University degree paired with a recognized Law Clerk designation or Paralegal certificate.
- Minimum of 3 years of applicable corporate law clerk experience within a law firm or an in-house corporate legal department.
- Exposure to the housing, insurance, or regulated financial sector is a strong asset.
- Advanced proficiency in MS Office Suite (Word, Excel, Outlook).
- Experience with platforms like Diligent or Venue is considered an asset, but training will be provided.
- Flawless attention to detail and stellar organization skills.
- You excel at managing moving deadlines and can navigate cyclical periods of high activity (quarterly disclosures and year-end).
- Exceptional communication skills and absolute discretion when handling sensitive Board-level information.
- A strong culture fit who values working beside a supportive, open-door legal team.
