Responsibilities
Support legal and compliance departments in their corporate, reporting, and transactional work.
Manage and maintain corporate books and records (physical and electronic), ensuring up-to-date information in the parent company’s database.
Complete corporate reports and filings with provincial and federal regulatory authorities.
Conduct corporate research and update government registries.
Organize and maintain an interactive database for corporate documentation.
Prepare materials for meetings, committees, and boards of directors (notices, agendas, minutes, resolutions).
Draft resolutions and powers of attorney as instructed.
Manage and update databases of sample contracts and legal forms.
Assist in documenting compliance with internal processes and support subsidiaries in doing the same.
Generate reports for attorneys based on case specifics and requests.
Develop and maintain a case file indexing system for active and archived files.
Monitor changes in government guidelines/regulations and report on relevant updates.
Communicate with internal and external stakeholders to gather necessary information.
Support ethics and compliance training and related reporting for the parent company.
Provide assistance on subsidiary compliance initiatives and documentation.
Qualifications
Completion of an accredited Law Clerk Program with a focus on corporate law.
4–6 years of experience in a law firm or in-house legal department, with a focus on corporate law and corporate record management.
Strong knowledge of corporate governance and commercial law.
Exceptional attention to detail, accuracy, and time management.
Strong written and verbal communication skills.
Proven ability to generate detailed reports and manage legal databases.
Proficiency in Microsoft Word, Excel, and adaptability to new legal software.
Ability to work collaboratively in a dynamic, fast-paced in-house legal team.
Effective interpersonal skills to interact with internal and external legal and business partners.
Willingness to take initiative and propose solutions to process challenges.
Dedication to understanding the business and its legal/compliance needs.
Capacity to manage complex tasks with long-term focus and persistence.
Tactical thinking with a commitment to accurate corporate filings and regulatory compliance.
