Responsibilities
Coordinate and manage files and document workflows, ensuring all shipments and filings meet established production deadlines.
Handle the incorporation and organization of new business entities.
Draft and prepare various corporate resolutions, declarations, and supporting documents.
Actively participate in due diligence processes and transaction closings.
Conduct searches and registrations, specifically with the Register of Personal and Movable Real Rights (RPMRR/RDPRM) and the Land Registry.
Maintain and update corporate minute books.
Prepare and file required documents and annual returns with Corporations Canada, the Registraire des entreprises du Québec (REQ), and the Ontario Business Registry.
Support corporate reorganizations and the implementation of business structures.
Prepare closing books in both physical and electronic formats.
Qualifications
Minimum of seven (7) years of relevant experience for the Senior position. ( experience acquired locally)
College diploma (DEC) in paralegal studies or an equivalent combination of education and experience.
Full professional proficiency in English and French, both written and spoken.
Strong research and drafting skills for legal and corporate documentation.
Excellent time management skills with the ability to manage multiple files simultaneously and meet tight deadlines.
Highly developed analytical mindset and a rigorous approach to problem-solving.
Exceptional attention to detail, meticulousness, and exemplary organizational skills.
Proficient in Microsoft Office Suite, specifically Word, Excel, and Outlook.
Self-motivated and proactive, with the ability to take initiative and anticipate needs.
Experience with Maître billing software is an asset.
Proficiency in iManage document management software is considered an asset.
Knowledge of MinuteBox software is an asset.
